Terms and Conditions

Effective Date: 1/1/2026

Provider: Co-Op Shopper / Guest Groceries (referred to as “Provider,” “we,” or “us”)

User: The individual or entity purchasing or using our store templates (referred to as “Client,” “you,” or “your”).

1. Acceptance of Terms

By purchasing, accessing, or using any store template (including Costco and Generic templates) provided by the Provider, you agree to these Terms and Conditions. If you do not agree, you may not use the templates.

 

2. Scope of Service

  • The Provider creates and supplies store templates built on the Wix platform.

  • Each template includes product images created by the Provider and access to pre-populated product categories.

  • The Provider does not provide access to the underlying product database or to the Wix-defined “Store” area, including but not limited to:

    • Wix product management system

    • Direct database entries

    • Backend inventory features

All modifications must be made within the permitted template customization features available to you on Wix.

 

3. Ownership and Intellectual Property

  • All product images, layouts, and design elements created by the Provider remain the sole property of the Provider.

  • You are granted a limited license to display these images only within the store template provided to you by the Provider.

  • You may not copy, download, reproduce, distribute, modify, or use the images in any other way, including but not limited to:

    • Use on other websites, platforms, or templates

    • Use in marketing, advertising, or social media

    • Resale, redistribution, or sublicensing in any form

  • Any use of the images outside the provided template is strictly prohibited and constitutes a violation of these Terms.

 

4. Client Responsibilities

  • You are responsible for setting up, customizing, and maintaining your website template.

  • Payments, fees, and customer interactions through your website are handled directly by you or your chosen payment processor. The Provider does not process or manage payments on your behalf.

  • You are responsible for ensuring compliance with local, state, and federal laws in operating your business.

 

5. Limitations of Access

  • You acknowledge and accept that you will not have direct access to the Provider’s product database or to the Wix “Store” area used in building the templates.

  • Updates to the product database are managed solely by the Provider. You will receive updates only as outlined in your purchased plan.

 

6. Fees and Payments

  • Templates are provided on a subscription or one-time basis as outlined at the time of purchase.

  • Additional services, such as customization, technical setup, or premium features, may require separate agreements and fees.

7. Access to Store Database

Upon purchase of a Co-Op Shopper website template, clients are granted temporary Admin access to their Wix site for setup purposes. This includes full control to:

  • Customize website content, branding, and design

  • Connect payment processors

  • Adjust service pricing and fees

  • Add pages, coupons, and gift cards

The store database provided by Co-Op Shopper will initially contain placeholder items (one per category). Once the client confirms their site is ready to launch, Co-Op Shopper will populate the store with the complete product database. At that point, client access to the Store section of the Wix dashboard will be restricted to protect catalog integrity.

8. Inactive Template Policy

If a Client’s hosting plan or subscription becomes inactive, Co-Op Shopper will retain the associated website template within its Wix account for up to 90 days. During this period, the Client may reactivate the template by renewing the required hosting or subscription plan.
After 90 days of inactivity, Co-Op Shopper reserves the right to permanently remove the inactive template and associated data from its system.
A reactivation fee may apply if the Client requests to reinstate a previously deactivated template.

9. Refund Policy

The Co-Op Shopper Template Initial Setup Fee ($29) is non-refundable once payment has been processed.
Monthly plans are non-refundable after payment due to immediate access and resource allocation.
Annual plan refunds may be issued within seven (7) calendar days of purchase only if template setup has not been completed or initiated.
No refunds will be granted once setup is complete or a website has been made active within the Co-Op Shopper Wix account.

All refund requests must be submitted in writing to art@co-op Shopper.com within the stated timeframe.

10. Limitations of Liability

  • The Provider is not liable for business outcomes, customer disputes, payment issues, or any damages resulting from the use or misuse of the templates.

  • Templates are provided “as-is” without warranties of performance, fitness for a particular purpose, or error-free operation.

 

11. Termination

  • The Provider reserves the right to revoke access to templates and services if you violate these Terms.

  • Unauthorized use of product images outside the provided template will result in immediate termination of your license without refund.

  • Additional legal remedies may be pursued to protect the Provider’s intellectual property rights.

 

12. Modifications to Terms

We may update or revise these Terms at any time. Continued use of the templates after changes take effect constitutes acceptance of the updated Terms.

 

13. Governing Law

These Terms are governed by and construed under the laws of Utah. Any disputes shall be resolved in the courts located in Salt Lake City, UT.
